Software License Agreement

1. Grant of License

Subject to the terms of this Agreement and timely payment of applicable subscription fees, TrikTraks grants you a limited, non-exclusive, non-transferable, revocable license to access and use the TrikTraks platform and related software (the "Software") solely for your internal business operations during the subscription term.

This license does not convey any ownership rights. You are licensing the Software, not purchasing it.

2. License Plans & Seat Limits

Your license scope is determined by the subscription plan you purchase:

• Starter: Up to 5 named users, up to 25 tracked vehicles/devices.
• Professional: Up to 25 named users, up to 250 tracked vehicles/devices.
• Enterprise: Unlimited named users and devices; custom deployment options available.

Use of the Software beyond the limits of your purchased plan requires an upgrade. TrikTraks reserves the right to suspend access if usage materially exceeds licensed limits.

3. Restrictions

You may not, and may not permit others to:

• Copy, modify, adapt, translate, or create derivative works of the Software;
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software;
• Sell, sublicense, rent, lease, loan, or otherwise transfer the Software or your license rights to any third party;
• Use the Software to build a competing product or service;
• Remove or alter any proprietary notices, labels, or branding within the Software;
• Use the Software in any manner that violates applicable laws or regulations;
• Share login credentials between users who are not covered by your seat count.

4. Ownership & Intellectual Property

TrikTraks retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to TrikTraks trademarks, service marks, trade names, or logos.

Any feedback, suggestions, or ideas you provide regarding the Software may be used by TrikTraks without restriction or obligation to you.

5. Your Data

You retain ownership of all data, content, and information you submit to or generate through the Software ("Customer Data"). TrikTraks will not sell, share, or use your Customer Data for any purpose other than providing and improving the Software, as described in our Privacy Policy.

Upon termination of your subscription, you may request an export of your Customer Data within 30 days. After this period, TrikTraks may delete Customer Data from its systems with no obligation to retain or restore it.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TRIKTRAKS DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TRIKTRAKS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TRIKTRAKS'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Termination

Either party may terminate this Agreement at any time. TrikTraks may terminate or suspend your license immediately, without notice, if you breach any term of this Agreement. Upon termination:

• Your right to access and use the Software ceases immediately;
• You must cease all use and destroy any copies of the Software in your possession;
• Sections 4, 6, 7, and 10 survive termination.

If TrikTraks terminates your account other than for breach, we will provide a pro-rated refund of any prepaid subscription fees for the unused portion of the then-current billing period.

9. Updates & Changes to this Agreement

TrikTraks may update this Agreement from time to time. We will notify you of material changes via email or a prominent notice within the Software at least 30 days before the changes take effect. Continued use of the Software after the effective date of changes constitutes acceptance of the updated Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which TrikTraks is incorporated, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved exclusively in the courts of that jurisdiction.
